Summary
These terms govern your use of the National Diabetic Exchange platform for selling diabetic supplies. They cover pricing, shipping, product verification, identity checks, and dispute resolution. This summary is provided for convenience — the full legal text below is binding.
1. Acceptance of Terms
By accessing or using the National Diabetic Exchange website (the “Platform”), operated by Phin Supplies LLC (“NDE,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Platform.
These Terms apply to all users who submit a “Sell Your Supplies” quote, ship products to us, or otherwise interact with our services. We may update these Terms at any time; continued use after changes constitutes acceptance.
2. Definitions
- “Seller” — any individual who submits a quote and/or ships diabetic supplies to NDE.
- “Quote” — the estimated payout provided through the Platform based on the information you supply (product type, quantity, expiration date, condition).
- “Final Payout” — the confirmed amount paid to a Seller after inspection and acceptance of supplies.
- “Inspection” — the process by which NDE verifies the condition, authenticity, and expiration of received supplies.
- “Supplies” — unused diabetic testing supplies, CGM sensors, pump supplies, and accessories.
3. Seller Terms & Obligations
By submitting a quote and shipping supplies, you represent and warrant that:
- You are at least 18 years of age and legally authorized to sell the supplies.
- You are the lawful owner of the supplies or have authorization from the owner to sell them.
- The supplies were not obtained through theft, fraud, or illegal activity.
- The supplies have not been tampered with, contaminated, or stored improperly.
- The information provided in your quote (product details, quantity, expiration, condition) is accurate to the best of your knowledge.
- You reside in a state where selling diabetic supplies is permitted. We currently cannot accept supplies from California, Nevada, or Wisconsin.
Providing false or misleading information may result in rejection of your shipment, forfeiture of payout, and/or permanent suspension from the Platform.
4. Pricing, Payment & Refunds
Quotes are estimates. The quote provided through the Platform is based on the information you supply and current market conditions. The Final Payout may differ if the actual products received differ from what was quoted (different quantity, condition, or expiration than stated).
Final Payout. After inspection, we will confirm the Final Payout amount via email. If the Final Payout differs from the original quote by more than 20%, we will notify you and offer the option to have your supplies returned at no cost.
Payment methods. Payouts are processed via the method you selected (PayPal, direct deposit/ACH, Zelle, or check). Processing times vary by method — see our Payment Options page for details.
Tax reporting. If your total payouts in a calendar year meet or exceed $600, we are required by law to issue a 1099-NEC form. You are responsible for reporting income and paying any applicable taxes.
No buyer fees. There are no fees charged to Sellers. Shipping is prepaid and there are no deductions from your payout.
5. Shipping, Risk of Loss & Insurance
Prepaid shipping. NDE provides a prepaid shipping label (USPS or UPS) for all accepted quotes. You are responsible for properly packing your supplies according to our Shipping Guide.
Risk of loss. Risk of loss transfers to NDE once your package is scanned by the carrier (USPS or UPS) at a drop-off location. Until that point, the supplies remain your responsibility.
Insurance. All shipments are insured through the carrier. If a package is lost or damaged in transit, NDE will file a claim on your behalf. You will not be held responsible for carrier-related losses.
Packing requirements. Supplies must be packed securely to prevent damage during transit. NDE reserves the right to reduce payouts or reject products that arrive damaged due to inadequate packing.
6. Product Verification & Rejection
All supplies received undergo a multi-point inspection. We check:
- Expiration date (minimum thresholds apply per product category)
- Packaging integrity (sealed, unopened, no tampering)
- Product authenticity (brand, lot number, barcode verification)
- Storage condition (no visible heat, moisture, or impact damage)
Rejection. Products that fail inspection are rejected. Common reasons include:
- Expiration below minimum threshold
- Opened or tampered packaging
- Unverifiable lot numbers or barcodes
- Visible damage from improper storage
- Products on active FDA recall
Rejected products are returned to you at no cost with a written explanation. Partial acceptance (some items accepted, others rejected) may result in an adjusted Final Payout.
7. Identity & Authentication
We collect your name, email, shipping address, and payout information to process transactions. We do not currently require government-issued ID for standard transactions.
NDE reserves the right to request additional identity verification if we suspect fraudulent activity, unusual transaction patterns, or if required for tax reporting compliance.
8. Intellectual Property
All content on the Platform — including text, graphics, logos, icons, images, and software — is the property of Phin Supplies LLC or its licensors and is protected by US copyright and trademark laws.
You may not reproduce, distribute, modify, or create derivative works from any Platform content without our written permission. The “National Diabetic Exchange” name, logo, and “NDE” abbreviation are trademarks of Phin Supplies LLC.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THESE TERMS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM A TRANSACTION SHALL NOT EXCEED THE AMOUNT OF THE FINAL PAYOUT FOR THAT SPECIFIC TRANSACTION.
NDE is not liable for delays or failures caused by circumstances beyond our reasonable control, including carrier delays, natural disasters, or government actions.
10. Indemnification
You agree to indemnify and hold harmless Phin Supplies LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party rights; (c) your misrepresentation of product information; or (d) any fraudulent activity associated with your account.
11. Dispute Resolution & Arbitration
Informal resolution first. If you have a dispute with NDE, you agree to contact us at nae@phinmedicalsupplies.com and attempt to resolve the dispute informally for at least 30 days before initiating formal proceedings.
Binding arbitration.Any dispute that cannot be resolved informally shall be settled by binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration shall take place in Sheridan County, Wyoming, or remotely at the Seller’s election.
Class action waiver. You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Governing law. These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.
12. Termination
NDE may suspend or terminate your access to the Platform at any time, with or without cause, including but not limited to: violation of these Terms, suspected fraud, or providing inaccurate information.
Upon termination, any pending transactions will be processed as follows: supplies already received will be inspected and paid out (or returned) per standard procedure. Supplies in transit will be handled normally upon receipt.
You may stop using the Platform at any time. There is no obligation to complete a transaction after receiving a quote.
13. Changes to These Terms
We may modify these Terms at any time by posting the revised version on this page and updating the “Last updated” date. Material changes will be communicated via email (if we have your address on file) or by a prominent notice on the Platform. Continued use after changes take effect constitutes acceptance. If you disagree with any changes, your sole remedy is to discontinue use of the Platform.
